I acknowledge that the only services provided by Click Industries, Ltd (CIL) through LLC-Operating-Agreements.com is the drafting of an llc operating agreement, member certificates and in some cases a federal tax id number application and/or the ordering of a corporate seal.
I understand that CIL is not acting as my attorney in any way and the information provided on this web site or through emails / phone conversations with CIL's employees or agents is not legal advice on which I can rely. Further, I understand that CIL can not guarantee that every portion of an operating agreement drafted for my business will meet the needs of my business and/or be appropriate for my business. If I institute any legal proceeding against CIL, it's employees, agents, officers, or directors, I agree that I will do so in Ramsey County District Court, St. Paul, Minnesota, and I acknowledge that Ramsey County District Court is the proper venue for any disputes. Further, I agree that the only damages I'm entitled to is the amount of money I paid CIL for the services rendered and that I am not entitled to any other damages whatsoever. Further, I agree that should CIL commence legal action against me for any reason that the proper venue for said cause of action is Ramsey County District Court in St. Paul, Minnesota and I hereby consent to the jurisdiction (both personal and subject matter) of said court. I also agree that the prevailing party in any action shall be entitled to its his/her reasonable costs, disbursements and attorney's fees.
